CONSTITUTION AND RULES OF THE TARANAKI GUNDOG CLUB

(FOUNDED 1976)

NAME        The Club shall be called "THE TARANAKI GUNDOG CLUB", hereafter referred to as 'The Club'.

OBJECTS:

a.

To hold meetings of all persons interested in "The Taranaki Gundog Club"

b.

To foster the breeding and exhibition of all those Gundog breeds recognised by the New Zealand Kennel Club.

c.

To hold championship shows, open shows, ribbon parades and other functions to be decided upon by the Executive and the Committee in accordance with the rules of the NZKC.

d.

To hold and conduct field trials in accordance with the rules and regulations of the New Zealand Gundog Trials Association.

e.

To take all possible steps that may be advisable for the protection, interest and advancement of the breeds before mentioned.

f.

To use all reasonable endeavours to protect the interest herein of the members of the Club.

RULE 1    MANAGEMENT OF CLUB AFFAIRS
 

1.1.

The control and management of the affairs of the Club shall be vested in an Executive and Committee (hereafter referred to as the Committee), consisting of a President, two Vice-Presidents (one to be Vice-President (Field Trials)) (one of whom shall be elected by secret ballot as Senior Vice-President), Secretary/Treasurer, or a Secretary and a Treasurer, Secretary (Field Trials), and a maximum of six committee members.

1.2

The Clubs Field Trial section shall be run by a sub-committee (hereafter referred to as the Field Trial Committee) consisting of Vice-President (Field Trials) (who shall chair the Field Trial Committee), Secretary (Field Trials) and a minimum of two committee members.

RULE 2    ELIGIBILITY FOR ELECTION TO EXECUTIVE COMMITTEE OF CLUB
 

2.1.

A person must reside within the approved zone of influence of the Club to be eligible for election to the Executive Committee of the Club.

RULE 3    MEMBERS SEAT ON THE COMMITTEE BECOMES VACANT
 

3.1.

The seat of a member of the Committee shall become vacant if he or she shall from any cause whatsoever become incapable of attending to his or her duties or if he or she shall be absent without leave from three (3) consecutive meetings of the Committee.

RULE 4    VACANCY ON COMMITTEE
 

4.1.

In the case of a vacancy occurring on the Committee, the Committee shall have the power to fill the vacancy from the membership

RULE 5    VACANCY OF OTHER OFFICES
 

5.1.

In the case of a vacancy for the office of Auditor, Secretary and Treasurer, the Committee shall have the power to appoint a member to fill the vacancy

RULE 6    VACANCY OF THE OFFICE OF PRESIDENT AND VICE-PRESIDENT
 

6.1.

In the case of the office of President becoming vacant, the Vice-President shall become acting President for the Club until the end of the Club's financial year, when elections are held. The office of Vice-President shall be elected from the Committee. In the case of both offices becoming vacant, the Committee will call a Special Meeting to elect a President and Vice-President. At this Special meeting the Secretary shall act as Chairman.

RULE 7    COMMITTEE MEETINGS
 

7.1.

The Committee shall meet as often as it shall deem necessary with a minimum of seven meetings and five members present shall form a quorum. A meeting of the Committee may be summoned at any time by the president or Vice-president or four members of the Committee. in the absence of the President and Vice-President, the Committee shall appoint a Chairman from their number. The standing Chairman shall have a casting vote in addition to his deliberate vote.

RULE 8    SPECIAL GENERAL MEETINGS
 

8.1.

A Special General Meeting of members shall be called by the Secretary within seven days after receiving a requisition signed by four members of the Committee or ten ordinary members. Such a meeting shall be held within fourteen (14) days of receipt of such a requisition and seven days notice shall be given to all members setting out the purpose for which such a meeting is called. Ten (10) members at such a meeting shall form a quorum.

RULE 9    ANNUAL GENERAL MEETINGS
 

9.1.

The Annual General Meeting of the Club shall be held within two (2) calendar months following the end of the financial year, which shall be the 31st of May each year. All members shall receive written notification of not less than fourteen (14) days prior to the date. Time and place is to be decided upon by the Committee. With the notice shall be stated the business to be transacted in the form of an Agenda. Nominations for offices of President, Vice-President, Vice-President (Field Trials), Secretary/Treasurer, or a Secretary, Treasurer, Secretary (Field Trials) and a committee consisting of up to six members, and a minimum of two members for the field trials Committee shall be called for. Mode of voting shall be by secret ballot and a returning officer and scrutineers shall be appointed at the meeting. Postal voting is not permitted. Only full financial members are to be nominated. Junior members under the age of sixteen years of age, honorary members have no nomination or voting rights. The patron, honorary Veterinary Surgeon and Auditor shall be elected at each Annual General Meeting.

RULE 10    HONORARY OFFICERS
 

10.1.

The Honorary Officers of the Club shall consist of the following:

10.2.1

Honorary Officers. Shall be appointed at each Annual General Meeting for a period up till the following Annual General Meeting, except in the case of Life Members.

10.2.2

Nominations for Life Membership and Honorary Vice-President are to be made in writing to the Secretary thirty (30) clear days before the end of the financial year, and any such nominations are to have the prior approval of the outgoing committee.

10.3.1

Life Members. Life Membership may be conferred, at the Annual General Meeting of the Club, on any member in recognition of services rendered to the Club. Holders of Life Membership of the Taranaki Gundog Club shall be exempt from all subscriptions and shall be entitled to all rights and privileges of an ordinary member.

10.3.2

Any person nominated for Life Membership must have been a member of the Taranaki Gundog Club for the preceding ten (10) years. Such nominations are to be included in the Agenda for the Annual General Meeting.

10.4

Honorary Vice-President. Any person or persons who has given service to the Club, or in some way or other are deserving of recognition for their efforts on behalf of the Club may be made an Honorary Vice-President, by the membership present at an Annual General Meeting, for a term on one year, and shall be entitled to all rights and privileges of an ordinary member.

RULE 11    ANNUAL REPORTS
 

11.1.

An Annual Report of the Club's progress which shall include a tabulated statement of the meetings of the Committee, together with a duly audited balance sheet, showing the receipts and expenditure for the past year and the assets and liabilities of the Club, shall be furnished and shall be forwarded to each member with the notice of the AGM. They shall be tabled at the AGM.

RULE 12    GENERAL MEETINGS
 

12.1.

Ten (10) financial members of the Club shall form a quorum. At all general meetings if after a lapse of half an hour from time appointed, a quorum shall not be present, those members present shall have full power to deal with the business for which the meeting was called. All such meetings shall have the power to adjourn their proceedings from time to time, for any period they may appoint. At all general meetings, the President shall be Chairman and in his absence, the Vice-president and it the absence of both, the members present shall elect a Chairman from those members present. At all General Meetings, if questions of order, procedure or interpretation shall arise, the ruling of the Chairman should be accepted as final. Any motion submitted to any meeting of the Club, shall be decided in the first instance by a show of hands and in the event of an equalled number of votes, the Chairman shall have the casting vote in addition to a deliberate vote.

RULE 13    DUTIES OF THE SECRETARY
 

13.1.

The Secretary shall keep Minutes of the proceedings, read and file all correspondence and communications, issue notices of meetings, when directed and conduct all correspondence, collect all subscriptions, entry fees and other revenue of the Club, issue receipts for monies received, and conduct all other procedures to meet all other legal requirements. The Secretary may, subject to the approval of the Committee, appoint any financial member of the Club to act as assistant Secretary. Unless a member of the committee, the Assistant Secretary shall have rights and privileges of an ordinary member only and shall be directly responsible to the Secretary.

RULE 14    DUTIES OF THE SECRETARY (FIELD TRIALS)
 

14.1.

The Secretary (Field Trials) shall keep minutes of the proceedings of the Field Trials Committee meetings, handle all correspondence and communications for that committee, and collect all monies associated with the Clubs Field Trials activities.

RULE 15    DUTIES OF THE TREASURER
 

15.1.

The Treasurer shall pay into such bank as the Committee may direct and keep a cash account containing a full record of all monies received and paid out. No accounts shall be paid unless passed by the Committee and initialled by the Chairman. The Bank pass books, cheque books, account book shall be produced at each of the Committee meetings. The Treasurer shall present to the Annual General meeting, a duly audited statement of income and expenditure for the year and liabilities of the Club.

RULE 16    DUTIES OF AUDITOR
 

16.1.

The Auditor may at any time examine the bank pass books and accounts of the Secretary and Treasurer and shall report thereon to the Committee. The Auditor shall audit all accounts and the balance Sheet prior to their being presented at the Annual General Meeting.

RULE 17    ELECTION OF MEMBERS
 

17.1.

Intending members shall be proposed and seconded only by financial members. Election shall be by vote of the majority of members present at (a) any ordinary Committee Meeting and (b) the Annual General Meeting.

RULE 18    MEMBERSHIP AND SUBSCRIPTIONS
 

18.1.

Membership of the club shall be by one of the following categories:

18.1.1

Single Adult. Entitles the member to all privileges of the Club subject to the rules.

18.1.2.1

Family Membership. This consists of two adults and all dependant children under the age of eighteen (18) years, at the commencement of the financial year, living at the same address, and entitles them to the same privileges as a single adult member. The subscription for a Family Membership shall be the same of a Single Adult plus fifty (50%) per cent.

18.1.2.2

Dependants shall be subject to rule 18.1.3.2

18.1.3.1

Junior Member. Any person not having obtained their eighteenth birthday, at the commencement of the financial year for which the membership is sought. The annual subscription for this member will be fifty (50%) per cent of a Single Adult member.

18.1.3.2

Junior members, including dependants joining under rule 18.1.2.1 and under 18 year olds joined under rule 16.1.4.1, shall not be entitled to be elected to any committee of the Club.

18.1.4.1

New Owner Member. This membership shall be for new owners of puppies purchased from financial members of the club who are joined up to the Club by the breeder. These members shall be entitled to the same privileges as a Single Adult member. The joining subscription shall be fifty (50%) per cent of a Single Adult member.

18.1.4.2

This type of membership shall be restricted to those owners who are first time "Pedigree Gundog" dog purchasers as an introduction to the world of pedigree dogs, either in the show ring or the field.

18.2

Register. A "Register of Members" shall be kept by the Secretary.

18.3

Subscriptions. Shall be set at the Club's Annual General Meeting, or any Special General Meeting called for that purpose, and shall be valid from that meeting.

RULE 19    ANNUAL SUBSCRIPTIONS
 

19.1.

Subscriptions are payable on election as a member to the Club and thereafter due between the 31st May (being the end of the financial year) and the AGM. Members who fail to pay their subscriptions during the above dates shall no longer be financial members and thereby forfeit their voting and nomination privileges at the Annual General Meeting and all subsequent General Meetings of the Club until they have paid their subscription. Should a member's subscription remain in arrears for a period of one (1) year, he shall cease to be a member of the Club and must apply for re-election to be reinstated.

RULE 20    RESIGNATION OF MEMBERS
 

20.1.

A member wishing to resign must communicate his intention to the Secretary in writing, and the return of the Club property and/or trophies shall be made within seven (7) days of resignation. No member shall be entitled to have a claim upon any portion whatsoever of the property of the Club.

RULE 21    DISCIPLINARY POWERS OF THE COMMITTEE
 

21.1.

The Committee shall arbitrate in all matters under dispute and shall have the power to exclude from membership any person whose conduct in its opinion is injurious to the well-being of the Club or to the efficient conduct of its affairs. Any member found guilty of wilfully infringing the rules, or acting in a manner prejudicial to the interests of the Club and its members shall be reprimanded, disqualified, or expelled from the Club by the Committee at a meeting held for that purpose. Before such a meeting is called a charge in writing must be forwarded to the member accused giving fourteen (14) days notice by registered mail and his/her presence requested at such a meeting duly convened. The member accused may appoint a representative in his/her stead and /or may be permitted to have advisory assistance. Should the accused member disregard the request to attend such meeting, then the Committee shall have the power to arbitrate in his/her absence. The votes of such a meeting shall be taken by ballot. In case of a reprimand, or a suspension a simple majority of votes cast will suffice, but in the case of an expulsion, two thirds of the votes cast will suffice. Any member so expelled shall thereupon cease to be a member of the Club and shall forthwith forfeit all claims upon the Club's property or trophies. Any member so reprimanded, suspended, or expelled shall have the right to appeal to the New Zealand Kennel Club.

RULE 22    NOTICE OF MOTION
 

22.1.

Notice of any motion for intended alteration, amendment or deletion of any Rule must be lodged with the Secretary in writing at least fourteen (14) days prior to the date of the Annual General Meeting or Special Meeting called for the purpose. A copy of such notice shall be forwarded to each member.

RULE 23    COMMON SEAL
 

23.1.

The Common Seal which shall be under the control of the Committee shall be in the custody of the Secretary and shall be affixed by the Secretary to such documents as the Committee may from time to time direct.

RULE 24    REGISTERED ADDRESS
 

24.1.

The address of the Club to which all communications must be addressed is that of the Secretary or at such place as may from time to time be determined by the Committee.

RULE 25     WINDING UP
 

25.1.

Should the Club be wound up under "the Incorporated Societies Act 1908" the funds and property of the Club shall be realized and converted into money and the debits and liabilities of the Club and the cost of liquidation paid out; and the balance, if any, shall be disposed of as the members deem appropriate by a majority of members present at a Special General Meeting called for such a purpose.

RULE 26    ZONE OF INFLUENCE
 

26.1.

All that area south from the Awakino River going east to Ohura, south to Patea, encompassing all cities, towns and villages there-in.

RULE 27    BORROWING POWERS
 

27.1.

Should the committee desire to borrow monies for the Club for any purpose whatsoever from any bank or from any other body or person, whether by ordinary or secured loan or by overdraft or in the form of debentures, at such a rate of interest or on such terms and conditions generally as the Committee shall think fit and to give security over any real or personal property now or hereafter belonging to the Club for repayment of such monies (over $200) it shall call a Special General Meeting for approval by members, a simple majority will suffice.

RULE 28    GENERAL
 

28.1.

Any matters arising which are not or which are alleged not to be provided for in these rules, shall be determined by the Committee in such manner as they deem fit and the decision of the Committee shall be final. These Rules shall be the only Rules of the Club and no rule shall be repealed, altered or amended, except as herein before provided.

RULE 29    SUB COMMITTEES
 

29.1.

The Committee of the Club has the power to appoint a Sub-Committee for any purpose required.

29.2

The Secretary of any such Sub-Committee must submit a copy of all minutes including the Treasurers' report; and all dates, expenditure, be confirmed and approved by the main Committee.

RULE 30    ALTERATIONS TO RULES OF CLUB
 

30.1.

Any amendments, alterations or reprints of Rules must be forwarded to the New Zealand Kennel Club for prior approval before being presented to members for confirmation and adoption.

RULE 31    TROPHIES AND AWARDS
 

31.1.1.

The regulations governing the award of any Club trophy or award for which the award is based on a points system are to be appended to these Rules as an addendum.

31.1.2

Such regulations are to be added once the trophy/award has been accepted and the regulations have been approved by the committee.

Points for this trophy are awarded in the following manner, to current financial members of the Club, over the best ten tests during the calendar year.

Applications for this trophy will be called for in June each year and are to include points from a minimum of four (4) events and a maximum of ten (10) events.

Applications will be call for in June each year and points are to include a minimum of four (4) shows and a maximum of ten (10).

Annex D TGC Rules (Rule 31)

Field Trials Dog of Year
 

The Club offers sashes for competition, to current financial members, in the following categories: Minor (covers Puppy, Limit, and Novice); Retriever; Spaniel; Pointer & Setter; All Breeds; and Dog of the Year, and Runner-Up.

For Retriever, Spaniel, Pointer & Setter, and All Breeds points may be claimed for your six best events, and to be eligible to win, regardless of the number of points gained, a first three placing must have been obtained in a minimum of two events.

For Minors points may be claimed for your ten best events, and to be eligible to win, regardless of the number of points gained, a first three placing must be obtained in a minimum of four events.

In the event of a tie the winner will be the dog with the best first three placing aggregate.

Applications will be called for in May each year.

Annex E TGC Rules (Rule 31)

Chip Memorial Trophy -donated by Ron Kamo
 

This trophy is competed for at the Clubs Field Trial Championships in the All Breeds plus Breed events, ie Spaniel, Pointer & Setter, and Retriever, and the winner is determined in the following manner:

Add the aggregate of the All Breed event plus the aggregate of the breed event together, then divide the result by the total number of game contested for as per the Championship Trial Schedule.
